SALE AGREEMENT
THIS AGREEMENT is executed at Delhi on this date between TRAVELINK COUNTY Private LTD., a company incorporated under the Companies Act 1956, having its registered office at – 811, Meghdoot Building, Nehru Place, New Delhi 110019, hereinafter referred to as the "First Party / The Company / PNPL", which term shall, unless repugnant to the meaning or context thereof, include and deem to include its successor or successors in office or assigns, duly represented by Mr.
AND hereinafter referred to as "Second Party" Residing at. Mobile Email
AND WHEREAS the First Party / Company is engaged in hospitality business operating Hotels, travel planning services and Resorts.
AND WHEREAS the Second Party desires to purchase products of the company and accordingly he/she has thoroughly understood all the Terms & Conditions of this Agreement and has fully understood the scope of this agreement. TRAVELINK COUNTY PRIVATE LTD. explained all the Terms & Conditions of the Agreements to the Second Party and the Second Party has unconditionally accepted the same.
THE CHARGES ARE NON-REFUNDABLE DEPOSIT AND NOT AN INVESTMENT. THE FEE IS NOT REFUNDABLE UNDER ANY CIRCUMSTANCES.
AND WHEREAS the Second Party hereby declares that he/she/ they will abide by rules & Regulations and Bye-laws (including amendments made from time to time) of TRAVELINK COUNTY Private LTD. And also shall punctually, correctly and in full letter and spirit comply with the Terms & Conditions agreed upon and hereinafter set out.
NOW IT IS AGREED BY AND BETWEEN THE PARTIES HERETO AS MENTIONED IN the TERMS & CONDITIONS AND COVENANTS OF SECOND PARTY are as follow:

In the event the Second Party Choose to benefit from ‘Cash Out’ price then he/she is liable to pay the entire amount within 30 days of initial payment. In the event the Second Party does not make the payment within 30 days of initial payment, then the First Party will revoke the benefit of the ‘Cash Out’ price and will collect the full product price from the Second Party.

Holiday Room Nights Benefits
2. Member can stay for a period upto 6 Nights and 7 Days each year at TRAVELINK COUNTY Private LTD.’s properties within India.
3. The Short term accommodation shall be provided in regular rooms without kitchen for the selected time Second Party, spouse and 2 children below 12 years age. Dependent vacationer’s above 18 are considered as an adult. Maximum 3 adults can be accommodated in one studio room. Extra room need to be taken at an additional cost if there are more than 3 adults in a room. Room allocation depends on eligibility and subject to availability. A maximum of 7 days can be used annually for associated property.
4. SHORT TERM ACCOMMODATION Priority – Floating Week Opted:
(I) We are providing vacations throughout the year in advance booking.
5. Short Term Holidays for the period mentioned below from the date of
this agreement.
(a) 5 Years (b) 10 Years (c) 20 Years
6. Vacation valid for a year in a Studio Room for adults and two Children under 12 Years age (or 3 Adults) and the same is renewable up to Years Priority, subject to making AMC & other dues payable to the TRAVELINK COUNTY PRIVATE LTD. without any default.
7. Vacation entitlement also covers TRAVELINK COUNTY Private LTD.’s affiliated /associated properties which are on short / long term lease/tie-ups. As of 2018 first party has over 70 vacation properties (Tie up associated) across India and selected Asian countries.
Enrollment Travel & Tour Services
8. Member who purchase 10 years renewable vacations are eligible for additional vouchers towards accommodation for 3 Nights and 4 Days at Dubai, TRAVELINK COUNTY Private LTD.’S AFFILIATED PROPERTY IN Dubai, Thailand. Those offers are valid for a period of two year from the date of registration of the agreement and same cannot be extendable.
9. On cash out payment by the Second Party with respect to 20 year 6 Night 7 Days’ vacation include online one way Air –ticket Voucher for a couple within India on the trip only, each Air ticket Voucher valued up to an amount of Rs. 5,500/-. Total amount will be charged towards the members credit/debit card and after removing the banking the booking charges of Rs. 999/- the balance will be credited to the member account. If the member does not have any dues towards any account, TRAVELINK COUNTY Private LTD. as a cash can give the same back back in 60 days. A mandatory 30 days advance booking is required. This offer is valid for 12 months from date of execution of this Agreement and cannot be extended any further. This offer is not transferable and is not to be clubbed with any other TRAVELINK COUNTY Private. LTD. Holidays. Reservations may be made online at www.travelinkcounty.com. The online voucher towards Air tickets cannot be redeemed for cash or be exchanged for any other services/offers. There is no other offer with respect to complimentary air-tickets.
Annual Charges
10. To maintain and provide facilities, accommodation and other benefits to the member as per this agreement an annual charges of Rs. 8,500/- (Rupees Eight Thousand five hundred only) including taxes is applicable and paid in advance every year irrespective of the usage. This amount is due from the date of this agreement and must be paid before the first Holiday or within the first 3 months or during the course of the membership there is a one time special undertaking that can be given saying that after using the first holiday second party will pay the AMC regularly. Failure to pay the said amount or any other amount due shall be considered as a default by the member and the member cannot utilize the facilities until the dues are cleared. Annual Charges bill will be generated irrespective of whether the Second Party has made full or part payment towards the membership. Three Years on the last paid amount without prior notice.
Credit Card EMI
11. TRAVELINK COUNTY Private LTD. provides an option to instantly convert the payment towards product price into an EMI option to the vacationers at applicable rates for selected Banks as per the terms and conditions of the Bank. The charges applicable on EMI are to be paid by the members directly to the Bank. This fee will reflect on the Bank charges slip. The member has to choose the EMI option while making the payment to TRAVELINK COUNTY Private LTD. and TRAVELINK COUNTY PRIVATE LTD. will not responsible for any dispute cannot be held responsible for the interest/ fees/ charges/ levied by the member’s bank for exceeding his/her credit limit.
12. This is a limited and exclusive offer. In case committed amount of fee is not remitted within 45 days from the date of initial payment, the money remitted till then would be forfeited by the TRAVELINK COUNTY PRIVATE LTD. and club & Vacations allotted, if any, would be cancelled without any prior notice. (Not applicable in case EMI related Membership transaction)
13. In the event the Second Party continues to default in completing the payment towards the ‘with EMI’ price even after a year, then the First Party reserves its right to forfeited the amount or degrade the benefits of product to the closest priced product to complete the transaction of the Second Party. The Second Party understands that once the product is degraded the benefits under this agreement can no longer be availed by the Second Party. Further, any benefits already availed by the Second Party under this agreement prior to degradation will be set off against the benefits of the degraded product closest in value.
PARTICULARS OF VACATIONS
14. The membership card will be issued to the Second Party. Subject to providing copy of ID proof, two photographs and compliance of the KYC norms of the whole family.
15. TRAVELINK COUNTY PRIVATE LTD. has the right to withdraw any properties from the list given in this agreement at any time without prior intimation. Holiday booking process is online on first come first serve basis and open for booking as specified under the Clause below. Online booking will be confirmed subject to availability of the rooms. At the time of the holiday if any resort dates are not available, the members should try to book an alternate available date.
16. Holiday booking is to be done online only or through the TRAVELINK COUNTY PRIVATE LTD. app. To make bookings online please visit www.travelcounty.com, click on login and select your location from the drop down menu. Login with the username and password mentioned on the ONLINE receipt (obtained as per clause 23), which will also be sent along with the welcome letter and the procedure for booking online to book your holidays. The Second party can utilize the vacations immediately on full payment of product and other dues even before receiving the card and welcome kit. The reservation is only confirmed once the booking voucher is issued. The reservation merely with an email for confirmation without a booking voucher is not a confirmed vacation and therefore the same will not be accepted. During peak time if occupancy of TRAVELINK COUNTY PRIVATE LTD.’s owned resort opted for is high, ONLY shorter holiday durations are provided to accommodate other.
17. In addition to the benefits provided under this agreement, as a special privilege, vacationers can book rooms at TRAVELINK COUNTY PRIVATE LTD.
18. A 20 year 6 Night 7 Days vacationer is also eligible for a DAE card wherein the same is entitled to exchange with a third party exchange provider for Domestic and International Vacations as low as rate of $125 to $229 (2020 price). To avail this benefit the second party needs to contact DAE directly or visit www.daelive.com
19. Associate properties usage in India is allowed for 7 days only.
20. International Associate property will be charged USD $20 per night. Premium Associate properties will be charged USD $40 Extra for all members.
TERMS & CONDITIONS
21. In an event that regular rooms are unavailable, TRAVELINK COUNTY PRIVATE LTD. will make superior rooms available, however as they are of a higher category an MAP plan (which include breakfast and lunch or dinner), there would be additional charges levied upon the second party.
22. The application for this needs to be submitted along with a copy of acceptable proof of identity and proof of address. The Club & vacations charges mentioned should be paid via Cheque / DD / PO / Credit card favoring "TRAVELINK COUNTY PRIVATE LTD." payable locally and should be submitted along with this Agreement. CASH REMITTANCE, if any, should be made ONLY TO TRAVELINK COUNTY PRIVATE LTD.’S ACCOUNT DEPARTMENT at TRAVELINK COUNTY PRIVATE LTD. office and spot ONLINE receipt should be obtained and the same should be viewed online in the vacationer login provided. The TRAVELINK COUNTY PRIVATE LTD. will not be held responsible for cash payments made or alleged to be made to Company’s sales personnel, or any employees or Marketing Associates against receipts on letter head, stamp paper etc.
23. The Membership card will be issued to the Second Party subject to providing copy of ID proof, address proof, two photographs and compliance of the KYC norms of the whole family. The process of execution of agreement will complete only after affixing signature of authorized representative of the First Party. Once the Second party signed the agreement, the same will be sent to the Head Office for execution of the agreements. Thereafter a copy of the same will be sent to Second party through a courier.
24. All holidays are subject to availability as we follow a floating week. Every effort is made to ensure our bookings system is transparent and other TRAVELINK COUNTY PRIVATE LTD.’s vacationers of higher season / points get an opportunity to book first. Week – 24th December to 3rd January are blocked out dates, Red week – Booking can be done between 901 days to 15 days before the desired holiday dates, WHITE week – booking can be done between 75 days to 30 days before the desired holiday dates and Blue Week – Booking can be done between 60 days to 45 days before the date of the desired holiday dates. After the stipulated dates mentioned as per the season / points, all TRAVELINK COUNTY PRIVATE LTD. vacationers have an equal opportunity to book their holidays. Only after those TRAVELINK COUNTY PRIVATE LTD. vacationers of higher category books his holiday, a TRAVELINK COUNTY PRIVATE LTD.
25. There shall be a cool off period of 10 days from the date of signing of this Agreement wherein member can discontinue the agreement by paying a nominal administration charges of Rs. 3,800/- to the Company. After deduction of the aforesaid amount (Rs. 3,800/-) remaining amount would be refunded to the member within 120 days from the date of invoking of cool off period. For invoking the cooling off period the member shall send a written communication to the TRAVELINK COUNTY PRIVATE LTD. Club, Center Customer Care, 403-B, 4th Floor, Goverdhan Building, Nehru Place, New Delhi 110020, through registered speed post or an e-mail to travelinkcounty@gmail.com. After expiry of the aforesaid period the entire membership fee is non refundable under any circumstances.
26. TRAVELINK COUNTY PRIVATE LTD. neither does engage in any renting & selling of member’s unused vacations or benefits nor allow vacationer to exploit it commercially however in an event that guest would like to gift it to someone other members a guest fee will apply.
27. The Second Party understands that the holidays are to be utilized under the agreement and that once the holiday lapses, the same cannot be renewed under any circumstances.
28. Pickup/Drop/Sightseeing/ Breakfasts/Lunch/Dinner may be arranged on request Only at an additional charge.
29. It is understood by the Second Party hereto that only after submission of all the necessary documents and satisfactory verification of the same thereafter by TRAVELINK COUNTY PRIVATE LTD., vacation vouchers will be issued to the primary applicant to the address stated in this agreement. The Second Party understands that there are no separate holiday vouchers for sale and the Second Party is entitled to benefits that are only set out under this agreement.
30. The Second Party understands that he/she will have to pay Taxes and other levies as levied by the government. i.e. GST and any other additional taxes as may be applicable from time to time.
31. The Second Party can obtain a copy of the Bye laws of TRAVELINK COUNTY PRIVATE LTD. by making written application to Admin Manager, Admin Dept 403B, Goverdhan House Nehru Place New Delhi 110019.
32. Outside food / beverages are strictly not allowed in the club / resorts. Charges for consumable such as food, beverages and other facilities availed, by the Second Party and guests will be determined by the management from time to time and should be cleared on a day to day basis. No credit facilities will be extended.
33. Vacations must be utilized by the member as per the terms under this agreement and the booking voucher issued by the TRAVELINK COUNTY PRIVATE LTD.
34. No pets are allowed in any of the TRAVELINK COUNTY PRIVATE LTD.’s own / affiliated / associated premises.
35. Second party may be denied using his / her vacations under this agreement if there is any other outstanding due payable from the Second Party to the First Party.
COVENANTS OF PURCHASER
36. The Second Party hereby agrees to purchase products from TRAVELINK COUNTY PRIVATE LTD. under this agreement and TRAVELINK COUNTY PRIVATE LTD. accepts the same, subject to the terms and condition of this agreement.
37. Second Party has understood the benefits available under this agreement which are more particularly listed out in this agreement. Second Party further understands that no benefits other than those listed in this agreement will be available to Second Party.
38. The Second Party understands that he/she is bound by Rules & Regulations of TRAVELINK COUNTY PRIVATE LTD. and as duly amended from time to time. The decision of the management of TRAVELINK COUNTY PRIVATE LTD. would be final in all matters.
39. On Signing of this agreement with First Party, the Second Party regularly reaching out on phone/mail/email/sms, update on new schemes & other value additions even if the party is TRAI regulated. The First Party understands that he/she should furnish their change of address; telephone numbers etc., if any to Customers Care Dept., to keep Second Party’s record up to date.
40. Apart from these Terms & Conditions as mentioned above, all other statues as applicable shall be binding on Second Party. Any amendment or enactment of a legislation resulting in additional obligations on First Party or changing the nature of any activity undertaken by First Party to the detriment of the First Party then the provisions in this agreement to the extent the additional obligations are imposed on the First Party would be considered as extinguished before the amendment or enactment of the legislation coming into force and the Company would not be held responsible for consequences of such changes.
41. Second Party understands that this Agreement (in the printed form ONLY) SUPERCEDES any communications whether written or oral or any variation or hand written remarks rewriting the printed Agreements made by the Agents and/or representatives of TRAVELINK COUNTY PRIVATE LTD. Or Second Party to this Agreement and /or any other written communication issued by TRAVELINK COUNTY PRIVATE LTD. representatives (including on Company Letter Head or STAMP PAPER). Further, Second Party understands that the vacations as set out in this agreement are final and binding on TRAVELINK COUNTY PRIVATE LTD. and Second Party.
42. Second Party confirms that no other verbal/ written promises or any other assurances in deviation from this Agreement have been made by TRAVELINK COUNTY PRIVATE LTD.’S personnel.
43. Second Party hereby declares that particulars given above are true, correct and completely in order. If any transaction is delayed or not affected at all for the reason of incomplete or incorrect information, Second Party shall not hold TRAVELINK COUNTY PRIVATE LTD. responsible for any loss/damage/inconvenience caused due to the same. The Second Party shall, within 30 days from shifting to any other residence apart from the address mentioned in this agreement, shall intimate the same to TRAVELINK COUNTY PRIVATE LTD. at the address mentioned in this agreement regarding the new address proof. In the event the intimation of change of address is not given to TRAVELINK COUNTY PRIVATE LTD., any communication either by TRAVELINK COUNTY PRIVATE LTD. or through lawyers is deemed to be served on the address mentioned in this agreement.
44. Second Party acknowledges and confirms that all the Terms and Conditions of TRAVELINK COUNTY PRIVATE LTD. shall be fully and completely binding on Second Party on signing of the Agreement by Second Party and that any further amendments to the same shall also be binding on Second Party.
45. Second Party confirms that Second Party shall not use the voucher and/or offers, if any or the facilities offered pursuant to the offer, if any, for any improper or illegal or unlawful purposes/activities or adopt or alter the same for any improper or illegal or unlawful gain.
46. Second Party hereby confirms that Second Party has gone through the aforesaid Terms & Conditions and benefits. Obligations and Second Party entered into this Agreement at its free will and accord and there is no compulsion or coercion or undue influence exercised by TRAVELINK COUNTY PRIVATE LTD. and/or its agents/representatives.
47. Second Party hereby confirms that Second Party has gone through the aforesaid Terms & Conditions and benefit/ Obligations and Second Party has understood and accepted the same.
JURISDICTION
48. It is agreed between the Parties herein that in the event of any dispute, claim or differences arising under this Agreement, the Second Party shall Contact the Central Customer care team of TRAVELINK COUNTY PRIVATE LTD. at travelinkcounty@gmail.com, or at (011) 45725977.
49. “All disputes arising out of relation to the present agreement shall be subject to exclusive and sole jurisdiction of the court (The Definition of the Courts includes the District/ State / Consumer Forums also) situated at DELHI alone and nowhere else since the agreement is entered between the parties into Delhi for all material purpose and by virtue of present agreement the jurisdiction of all courts is excluded by the parties except for court situated at DELHI alone. “The Second Party is hereby unconditionally and irrevocably agreed the place of jurisdiction for adopting any kind of legal recourse will be at DELHI”.
